These Terms and Conditions ("Terms") govern your use of Nexara Digital's services and website at nexaradigital.net. By purchasing or using our services, you agree to these Terms.

1. Services

Nexara Digital provides digital marketing services to local businesses in Siem Reap, Cambodia, including but not limited to:

• QR Review Funnel setup and hosting
• Google Business Profile optimisation
• Review management and responses
• Local SEO and citation building
• Chatbot and automation setup
• Content creation and social media posting

2. Packages and Pricing

Our services are offered in monthly subscription packages as listed on our website. All prices are in USD unless otherwise stated.

• Starter: $49 one-time setup + $29/month
• Growth: $49 one-time setup + $79/month
• Visibility Pro: $99 one-time setup + $149/month

Prices may be subject to change. Existing clients will be notified at least 30 days before any price increase takes effect.

3. Payment Terms

• The one-time setup fee is due before work begins
• Monthly subscription fees are billed in advance on the same date each month
• Accepted payment methods: bank transfer, PayPal, Stripe (credit/debit card)
• Late payments may result in suspension of services after 7 days

4. Cancellation Policy

To cancel, contact us at info@nexaradigital.net at least 5 business days before your next billing date.

5. Refund Policy

• One-time setup fees are non-refundable once work has commenced
• If we fail to deliver the agreed setup within 5 business days of receiving all required assets, a full refund of the setup fee will be issued
• Monthly fees are non-refundable for completed billing periods
• Disputes must be raised within 14 days of the billing date

6. Client Responsibilities

To deliver our services effectively, you agree to:

• Provide timely access to Google Business Profile, social accounts, and any other required platforms
• Supply accurate business information (address, opening hours, menu, photos)
• Respond to our communications within 3 business days when input is required
• Not make conflicting changes to platforms we are managing without notifying us

7. Our Responsibilities

• We will deliver services as described in your chosen package
• We will report results monthly (or bi-weekly for Pro clients)
• We will maintain confidentiality of your business information
• We will never post content that is false, misleading, or violates platform guidelines

8. Results Disclaimer

We work diligently to improve your online reputation and visibility. However, we cannot guarantee specific outcomes such as a particular number of reviews, star rating, or search ranking position, as these are influenced by factors outside our control (customer behaviour, Google algorithm changes, competitor activity).

9. Intellectual Property

All content created by Nexara Digital for your business (review reply templates, posts, reports) becomes your property upon full payment. Our proprietary tools, systems, and processes remain the intellectual property of Nexara Digital.

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the service relationship and not to disclose it to third parties without prior written consent.

11. Termination by Nexara Digital

We reserve the right to terminate services immediately and without refund if a client:

• Provides false information or misrepresents their business
• Requests actions that violate platform terms of service or local law
• Fails to pay outstanding invoices after 14 days written notice
• Engages in abusive or threatening behaviour toward our team

12. Limitation of Liability

Nexara Digital's total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

13. Governing Law

These Terms are governed by the laws of the Kingdom of Cambodia. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled by mediation in Siem Reap, Cambodia.

14. Changes to These Terms

We may update these Terms from time to time. Clients will be notified by email at least 14 days before any material changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
